These Terms of Sale apply to all quotes, orders and sales by Michlo LLC, a Virginia limited liability company operating as Michlo Atelier (“we,” “us”), to you, the business customer (“you”). By approving a quote or placing an order, you agree to these terms.
1. Business customers only
We sell only to businesses and organizations for business, promotional or gifting purposes. We do not sell to consumers for personal use. By ordering, you confirm that you are acting on behalf of a business or organization.
2. Quotes
Quotes are valid for 30 days from the date issued unless the quote states otherwise. A quote describes the design, quantity, pricing, payment terms and estimated timeline for your order. An order is confirmed when you accept the quote in writing and any required deposit is received.
3. Order size and lead times
There is no minimum order. Production and delivery time depends on your design and order volume, and we confirm the timeline with your quote. Lead times are estimates and begin once the design is approved and any deposit is received. Delays caused by late approvals, artwork changes or events outside our control may extend the timeline.
4. Design proofs and approval
Every custom order requires your written approval of the design proof (and sample, where one is provided) before production begins. Please review spelling, colors, placement and details carefully; once you approve, production follows the approved design.
5. Cancellations and refunds
Custom ornaments are made to your specifications and cannot be resold. Once production has started, custom orders cannot be canceled and are non-refundable. If you cancel before production starts, we will refund amounts paid less any design or sampling costs already incurred, as stated in your quote.
6. Your logos and artwork
You confirm that you own, or have permission to use, all logos, trademarks, names, images and other materials you submit, and that our use of them to produce your order will not infringe anyone else’s rights. You agree to cover any claims, losses or costs that arise from materials you provide. We may decline any design at our discretion.
7. Handmade variation
Each ornament is mouth-blown and hand-painted. Small variations in size, shape, color and painted details between pieces, and compared with proofs or on-screen images, are a natural part of the craft and are not defects.
8. Shipping and damage claims
Orders ship to the address in your order. Risk of loss passes to you upon delivery. Glass is fragile, so we pack every order with care. If anything arrives broken or damaged, email [email protected] within 7 days of delivery with photos of the damaged items, the packaging and the shipping label. Please keep the packaging until the claim is resolved. For approved claims, we will replace the damaged pieces or issue a credit or refund for them. Claims reported after 7 days may not be accepted.
9. Payment
Payment terms, including any deposit, are stated in your quote or invoice. We may hold production or shipment until payments due are received.
10. Limitation of liability
To the fullest extent permitted by law, our total liability for any claim relating to an order is limited to the amount you paid for that order. We are not liable for indirect, incidental, special or consequential damages, including lost profits or missed events or promotions.
11. Governing law
These terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Virginia.
12. Copyright and intellectual property
The ornament designs, photographs, text and other content on this website and in our catalogs are protected by copyright and may not be copied, reproduced, distributed or used in any way without our prior written permission. Your own logos and artwork remain yours and are used only to produce your order. To request permission, email [email protected].
13. Changes
We may update these terms from time to time. The terms in effect when you accept a quote apply to that order. If your quote or a signed agreement says something different, that document controls for that order.
